Agreement to Terms

These Terms of Service constitute a legally binding agreement between you and TickOS Inc. ("TickOS," "we," "us," or "our") concerning your access to and use of the TickOS platform, including our website, API, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

Eligibility

You must meet the following requirements to use our Service:

• Have the legal capacity to enter into a binding contract
• Not be prohibited from using the Service under applicable laws
• Provide accurate and complete registration information

Subscription Plans and Billing

Free Trial and Plans

Payment Terms

• Subscription fees are billed in advance on a monthly or annual basis
• All fees are non-refundable except as required by law or as explicitly stated
• You authorize us to charge your payment method for all applicable fees
• Failure to pay may result in suspension or termination of your account
• You are responsible for all taxes associated with your subscription

Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You can cancel your subscription at any time through your account settings.

Acceptable Use Policy

You agree not to use the Service to:

• Violate any applicable laws, regulations, or third-party rights
• Send spam, unsolicited communications, or engage in phishing
• Distribute malware, viruses, or other harmful code
• Attempt to gain unauthorized access to our systems or other users' accounts

• Use the Service for any illegal, fraudulent, or malicious purpose
• Reverse engineer, decompile, or disassemble any part of the Service

API Usage

If you use our API, you must comply with our API Terms:

• Use API keys securely and do not share them publicly
• Respect rate limits and usage quotas specified for your plan
• Do not attempt to circumvent technical limitations or security measures
• Implement proper error handling and retry logic
• Comply with all applicable data protection regulations
• Properly attribute TickOS when required

Customer Data and Privacy

You retain all rights to the data you submit to the Service ("Customer Data"). By using the Service, you grant us a limited license to process Customer Data solely to provide the Service to you.

Data Responsibility

Your License

Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate such feedback into our Service.

Service Availability and Modifications

• We may modify, suspend, or discontinue any part of the Service at any time
• We may perform scheduled maintenance with reasonable notice
• We are not liable for any downtime or service interruptions

Third-Party Services and Links

The Service may integrate with or contain links to third-party services, websites, or applications. We are not responsible for the content, privacy practices, or availability of third-party services. Your use of third-party services is subject to their own terms and conditions.

Disclaimers and Limitations of Liability

No Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement
• Warranties regarding accuracy, reliability, or availability of the Service
• Warranties that the Service will meet your requirements or expectations

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TICKOS SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Service interruptions, errors, or security breaches
• Third-party content or services

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR $100 IF NO FEES WERE PAID.

Indemnification

You agree to indemnify, defend, and hold harmless TickOS and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your Customer Data.

Term and Termination

Termination by You

You may terminate your account at any time through your account settings or by contacting support. Upon termination, your access to the Service will cease at the end of your current billing period.

Termination by Us

We may suspend or terminate your account immediately if:

• You violate these Terms or our Acceptable Use Policy
• You fail to pay applicable fees
• Your account is inactive for an extended period
• We are required to do so by law
• Continued provision would cause us legal liability or disrupt the Service

Effect of Termination

Upon termination, your right to use the Service ceases immediately. We will retain your data for 90 days to allow for account recovery, after which it will be permanently deleted. Provisions that by their nature should survive termination shall survive.

Dispute Resolution

Informal Resolution

Before filing a claim, you agree to contact us at legal@tickos.dev to attempt to resolve the dispute informally. We will attempt to resolve disputes in good faith.

Arbitration

Any dispute that cannot be resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in [Your Location], and judgment on the award may be entered in any court of competent jurisdiction.

Class Action Waiver

You agree that disputes will be resolved on an individual basis, not as part of a class action, consolidated, or representative action.
